Welcome to PawDry. These Terms of Service
explain the rules that apply when you visit pawdry.co.uk, create or use an account, or order products from us. Please read them before using the website or placing an order.
The terms “PawDry”, “we”, “us” and “our”
mean PawDry Ltd, a company registered in England and Wales under company number [INSERT COMPANY NUMBER BEFORE PUBLISHING], whose registered office is 37 Aire Road, Wetherby, LS22 7UE, United Kingdom.
Our online store is hosted by Shopify, which
provides the ecommerce platform that enables us to offer the website and products to you. The contract for any purchase is between you and PawDry Ltd.
By using the website or placing an order,
you agree to these Terms of Service and acknowledge our Privacy Policy. If you do not agree, you must not use the website or place an order.
1. ABOUT THESE TERMS AND DEFINITIONS
These Terms apply to the website, its content
and features, and all products sold through it (together, the “Services”). Product-page information, safety warnings and instructions supplied with a product also form part of the contract for that product.
A “Consumer” is an individual acting wholly
or mainly outside their trade, business, craft or profession. A “Business Customer” is anyone purchasing wholly or mainly for their trade, business, craft or profession, including a professional dog groomer buying equipment for salon use. Some clauses apply
differently depending on which type of customer you are.
If there is a conflict between these Terms
and mandatory law, mandatory law will apply. Nothing in these Terms reduces a Consumer’s statutory rights.
2. ACCESS, ELIGIBILITY AND ACCOUNTS
You must have legal capacity to enter into
a contract. If you are under 18, an order must be placed by, or with the involvement and permission of, a parent or legal guardian.
You may be asked to provide an email address,
billing details, payment details and delivery information. You confirm that information you provide is accurate, current and complete and that you are authorised to use the chosen payment method.
If you create an account, you are responsible
for keeping your login details confidential and for activity carried out through your account. Tell us promptly at hello@pawdry.co.uk if you believe your account has been accessed without permission. You must not sell, transfer or allow another person to misuse
your account.
3. OUR PRODUCTS
We take reasonable care to describe and display
our products accurately. Product photographs are illustrative, and colours may vary slightly because of screen settings, lighting or normal manufacturing variation. Packaging may change where this does not materially affect the product.
Measurements, capacities and performance
statements are given as accurately as reasonably possible. Any claim should be read together with the relevant product description, care instructions, limitations and method of use.
All products are subject to availability.
We may withdraw or change a product before we accept an order. Changes will not affect a contract that has already been formed unless required for safety or by law, in which case we will contact you.
Our products are pet-care and grooming products
and are not children’s toys. Keep packaging and small or detachable components away from children and animals where they could create a hazard.
4. PRODUCT USE AND SAFETY
You must read and follow all instructions,
warnings, fitting guidance and care information shown on the product page, packaging or supplied with the product. Choose a product appropriate for the dog, its size and temperament, and the intended grooming setup. Inspect every item before each use and stop
using it immediately if it is damaged, worn, loose or not functioning correctly.
Grooming straps and extenders:
these are temporary grooming aids designed to help position and support a dog on a suitable grooming table or in a grooming bath. Attach them only to a secure, compatible restraint point; adjust them so normal breathing is not restricted; and maintain direct,
continuous supervision. Never leave a dog unattended. Release the restraint immediately if the dog shows distress or difficulty breathing. They are not intended for walking, tethering, vehicle restraint, fall protection or prolonged restraint.
Bath suction cups:
fit only to a clean, smooth and compatible surface in accordance with the instructions. Test the attachment before use and check it repeatedly throughout grooming because suction can reduce or release. Never rely on a suction cup as a substitute for direct
supervision or use it for unattended or prolonged restraint.
Lick mats:
use only as a supervised pet-feeding or enrichment product. Inspect before and during use, remove it if the animal begins chewing or damaging it, and discard it if torn, cracked or otherwise damaged. It is not a chew toy.
PawDry towels:
use for external pet drying and follow the cleaning, storage and care instructions supplied with the towel.
Business Customers must ensure that products
are used by competent people, that staff receive appropriate training and that suitable risk assessments and supervision procedures are in place.
Nothing in this section excludes or restricts
our responsibility to supply products that are safe, as described, of satisfactory quality and fit for any purpose made known to us where the law requires it.
5. ORDERS AND FORMATION OF THE CONTRACT
Placing an order is an offer to buy the products
in your basket. An automated order acknowledgement, payment authorisation or payment receipt confirms that we have received the order but does not mean that we have accepted it.
We accept an order, and a contract is formed,
when we send a dispatch confirmation for the relevant product. If an order is dispatched in more than one parcel, each dispatch confirmation creates a separate contract for the products listed in it.
Before acceptance, we may decline or cancel
an order where, for example, a product is unavailable, we cannot authorise payment, we identify an obvious pricing or description error, the delivery address is outside our supported area, purchase limits have been exceeded, or we reasonably suspect fraud
or misuse. We will tell you and refund any amount taken for products we do not accept.
Check your order carefully before submitting
it. Contact hello@pawdry.co.uk promptly if you wish to change or cancel it. We cannot guarantee a change once fulfilment has begun, but a Consumer’s statutory cancellation rights remain unaffected.
Products may be purchased by pet owners and
by professional groomers for use in their own work. You must not purchase products for resale or wholesale distribution unless PawDry has agreed this with you in writing under separate trade terms.
6. PRICES, DELIVERY CHARGES AND PAYMENT
All prices are displayed and charged in pounds
sterling (GBP). PawDry Ltd is not currently registered for VAT, so VAT is not charged. If our VAT status changes, consumer-facing prices will include VAT where applicable.
Delivery charges and any other unavoidable
charges will be shown before you place the order. We may change prices at any time, but a price change will not affect an order we have already accepted.
If a displayed price is clearly incorrect
and the error could reasonably have been recognised, we may contact you before dispatch to offer the product at the correct price or cancel the order and refund you.
You authorise us and our payment providers
to charge the payment method selected at checkout. Payment must be received in full before dispatch. We do not store complete payment-card details; payment processing is handled by the providers made available through our checkout.
7. PRE-ORDERS
A product described as a “pre-order” is not
ready for immediate dispatch. The product page will give the best estimated dispatch date or period available to us. This is an estimate and may change because of manufacturing, freight, customs or other supply-chain events.
Unless checkout states otherwise, payment
for a pre-order is taken when the order is placed. Taking payment does not itself mean that we have accepted the order; acceptance occurs when we send the dispatch confirmation.
You may cancel a pre-order at any time before
dispatch by emailing hello@pawdry.co.uk and will receive a full refund for the cancelled item. If we become unable to supply it, we will cancel and refund it. If the estimated dispatch timing changes materially, we will use the contact details provided to
give you an update and the option to cancel.
An order containing both in-stock and pre-order
products may be sent together or separately, as stated on the product page, at checkout or in our order communications. Once a pre-order is dispatched, the normal delivery and returns provisions apply.
8. DELIVERY
We currently deliver only to eligible United
Kingdom addresses supported at checkout. Delivery estimates and available services will be shown at checkout or in the dispatch confirmation. Unless we agree a different period with you, including a stated pre-order period, we will deliver Consumer orders
without undue delay and no later than 30 days after the contract is formed.
Delivery dates are estimates unless we have
expressly agreed that a particular date is essential. If an event outside our reasonable control delays delivery, we will contact you as soon as reasonably possible and take steps to minimise the delay. Your legal rights, including any right to cancel where
delivery is excessively delayed, are not affected.
For a Consumer order, the products remain
at our risk until they come into the physical possession of you or a person you have identified to receive them. The exception is where you independently commission a carrier that we did not offer, in which case the legal rules for that arrangement apply.
Ownership passes once we have received full payment and the products have been delivered.
You are responsible for providing a complete
and accurate delivery address and for making reasonable arrangements to receive the parcel. If a parcel is returned because the address supplied was incorrect or delivery was repeatedly unsuccessful, contact us. We may charge the reasonable cost of redelivery
where legally permitted and clearly agreed.
Please tell us promptly if a parcel is missing,
damaged or appears to have been opened in transit. A delay in notifying us does not remove a Consumer’s statutory rights.
9. CONSUMER CANCELLATION AND CHANGE-OF-MIND
RETURNS
This section applies only if you are a Consumer.
It is separate from your rights where a product is faulty, damaged, unsafe or not as described.
You may cancel most online orders without
giving a reason. The cancellation period ends 14 days after the day on which you, or a person you nominate, receives the products. If one order is delivered in separate parcels on different days, the period ends 14 days after the day the last product is received.
To cancel, email hello@pawdry.co.uk before
the cancellation period expires. Give your name, order number, the products being cancelled and a clear statement that you wish to cancel. You may use the model cancellation form at the end of these Terms, but you do not have to.
After telling us that you are cancelling,
return the products without undue delay and no later than 14 days after that notification. Send returns to: PawDry Ltd, 37 Aire Road, Wetherby, LS22 7UE, United Kingdom. You are responsible for the direct cost of a change-of-mind return. We recommend obtaining
proof of posting.
You may examine a product as you would reasonably
be able to in a shop. We may reduce the refund to reflect a loss in value caused by handling beyond what is necessary to establish the product’s nature, characteristics and functioning. Do not use a grooming product on an animal merely to test it if that goes
beyond reasonable inspection.
Where the right to cancel applies, we will
refund the price paid and the cost of our least expensive standard outbound delivery option, where required by law. We do not have to refund any additional amount paid for an enhanced delivery service. We may withhold the refund until we receive the returned
products or you provide evidence that they have been sent back, whichever occurs first. The refund will be made without undue delay and no later than 14 days after that point, using the original payment method unless you expressly agree otherwise.
Hygiene-sealed products
The right to cancel does not apply to a sealed
product that is not suitable for return for health-protection or hygiene reasons once it has been unsealed after delivery. This may include a lick mat supplied with a hygiene seal once that seal has been broken. This exception applies only where permitted
by law and does not affect your rights if the product is faulty, damaged, unsafe or not as described.
10. FAULTY, DAMAGED OR MISDESCRIBED PRODUCTS
We are legally required to supply Consumer
products that are as described, of satisfactory quality, fit for purpose and compliant with applicable product-safety requirements. These rights are in addition to the change-of-mind cancellation right.
If you believe a product is faulty, damaged,
unsafe or not as described, stop using it where continued use could create a risk and contact hello@pawdry.co.uk with your order number, a description of the issue and, where helpful, photographs. We may ask you to return the product or provide further information
so that we can assess it.
Where a Consumer has a legal right to a refund,
repair or replacement, we will provide the appropriate remedy and cover reasonable return costs as required by law. Nothing in these Terms limits rights available under the Consumer Rights Act 2015 or other applicable consumer-protection law.
11. BUSINESS CUSTOMERS AND PROFESSIONAL
GROOMERS
If you purchase wholly or mainly for professional
grooming or another business purpose, you are a Business Customer even if you are a sole trader or use a personal payment method. Consumer cancellation rights in section 9 do not apply to a Business Customer.
We may choose to accept an unused, complete
and resaleable Business Customer return requested within 14 days of delivery, but only if we approve the return in writing before it is sent. The Business Customer is responsible for return postage unless the product is faulty or we agree otherwise. This voluntary
arrangement does not create an automatic right to return.
A Business Customer must inspect products
promptly after delivery and notify us promptly of apparent shortages, transit damage or defects. This does not prevent a claim for a defect that could not reasonably have been discovered on initial inspection.
Professional users are responsible for deciding
whether a product is suitable for their working environment, using it only as instructed, training staff, supervising animals and complying with workplace, animal-welfare and health-and-safety obligations.
12. PROMOTIONS AND DISCOUNT CODES
Promotions and discount codes may be subject
to separate conditions, eligibility criteria, dates, stock limits or maximum order values. Unless stated otherwise, codes cannot be combined, exchanged for cash or applied retrospectively. If promotion-specific terms conflict with these Terms, the promotion-specific
terms apply to that promotion.
We may refuse or withdraw a promotion where
it is used fraudulently, contrary to its terms or as a result of an obvious error. This does not affect contracts already validly formed except where the law permits.
13. ACCEPTABLE USE OF THE WEBSITE
You may use the website only for lawful purposes.
You must not:
break any applicable law or encourage another person to do so;
infringe our intellectual-property rights or the rights of another person;
submit false, fraudulent, defamatory, abusive, discriminatory, obscene or misleading
material;
introduce viruses, malicious code or other technology that may damage or disrupt
the website;
attempt to gain unauthorised access to the website, accounts, servers or data;
scrape, crawl, copy or harvest content or personal information by automated
means except where permitted by law; or
use the website in a way that materially interferes with another person’s use
or with the security or operation of the Services.
We may take proportionate action, including
restricting access or suspending an account, where we reasonably believe this section has been breached.
14. INTELLECTUAL PROPERTY
The website and its text, photographs, graphics,
videos, product names, logos, trade marks, designs, layout and other content are owned by or licensed to PawDry Ltd and are protected by intellectual-property law. Shopify and other third parties retain rights in their respective names, software, content and
trade marks.
You may view the website and print or save
reasonable extracts for personal use or, for a Business Customer, internal use connected with products purchased from us. You must not reproduce, distribute, modify, publish, sell, license, commercially exploit or create derivative works from our content without
prior written permission, except where the law permits.
Product instructions may be copied internally
only to train people who will use that product. PawDry branding or instructions must not be altered in a way that misrepresents the product or removes a safety warning.
15. THIRD-PARTY TOOLS AND LINKS
The website may provide links to third-party
websites or access to services such as payment, reviews, delivery tracking, analytics or social-media tools. We do not control third-party websites and are not responsible for their independent content, availability or practices. Review their terms and privacy
information before using them.
Where a third-party tool is made available
through our website, its provider may impose separate terms. Nothing in this section excludes responsibility that cannot lawfully be excluded or our responsibility for selecting and using service providers with reasonable care.
16. RELATIONSHIP WITH SHOPIFY
Shopify provides the ecommerce platform that
hosts the store, but Shopify is not the seller of PawDry products. Orders, payments, fulfilment, product information, returns and customer support are provided by or on behalf of PawDry Ltd.
To the fullest extent permitted by law, Shopify
and its affiliates are not responsible for the performance of the sales contract between you and PawDry Ltd or for PawDry products. Nothing in these Terms limits any right or claim you may have directly against Shopify or another third party under applicable
law.
17. PRIVACY AND PERSONAL INFORMATION
Our collection and use of personal information
is governed by our Privacy Policy, which is available at https://pawdry.co.uk/policies/privacy-policy. Shopify and other service providers may process personal information to operate the store, process payments, prevent fraud and provide their services. Their
own privacy information may also apply.
By using the website, you acknowledge that
information may be processed by service providers located outside the United Kingdom, subject to the safeguards described in the Privacy Policy and required by data-protection law.
18. REVIEWS, FEEDBACK AND USER CONTENT
If you submit a review, photograph, suggestion
or other content (“User Content”), you confirm that it is honest, based on genuine experience where presented as a review, that you own it or have permission to submit it, and that it does not infringe another person’s rights or contain unlawful or malicious
material. You must disclose any payment, free product or other incentive connected with a review.
You grant PawDry Ltd a non-exclusive, worldwide,
royalty-free licence to host, reproduce, format, display and use the User Content to operate and promote PawDry and the Services. This licence lasts for as long as reasonably necessary for those purposes, subject to your data-protection and other legal rights.
We may moderate or remove User Content where
we reasonably believe it is unlawful, fake, misleading, offensive, irrelevant, infringes rights or breaches these Terms. We will not selectively suppress genuine reviews merely because they are negative. You remain responsible for the content you submit.
19. WEBSITE AVAILABILITY, ERRORS AND UPDATES
We try to keep the website accurate, secure
and available, but we do not promise uninterrupted or error-free access. We may temporarily suspend, maintain, update or change website features. This does not affect an order already accepted or any statutory right.
If we discover an error in a product description,
price, promotion, availability estimate, delivery charge or other information, we may correct it. If the error affects an order that has not been accepted, we may contact you, decline the order and refund payment. If it affects an accepted order, we will act
in accordance with the contract and applicable law.
20. LIABILITY
Liability that is never excluded
Nothing in these Terms excludes or limits
liability for death or personal injury caused by negligence; fraud or fraudulent misrepresentation; breach of a Consumer’s statutory rights; liability for a defective product under the Consumer Protection Act 1987; or any other liability that cannot lawfully
be excluded or limited.
Consumers
If we breach these Terms or fail to use reasonable
care and skill, we are responsible for loss or damage that is a foreseeable result. Loss or damage is foreseeable if it is an obvious consequence or both parties knew it might happen when the contract was formed. We are not responsible for loss that is not
foreseeable, except where the law provides otherwise.
If you are a Consumer, products are supplied
for private and domestic use. We are not responsible under the Consumer contract for business losses, including loss of profit, revenue, contracts, opportunity, goodwill or business interruption, arising from use for a business purpose. If you buy mainly for
a business purpose, the Business Customer provisions apply instead.
Business Customers
Subject to the liabilities that are never
excluded, PawDry Ltd will not be liable to a Business Customer for indirect or consequential loss, or for loss of profit, revenue, sales, business, opportunity, contracts, anticipated savings, goodwill or data.
Subject to the liabilities that are never
excluded, our total aggregate liability to a Business Customer arising from an order, whether in contract, tort (including negligence), breach of statutory duty or otherwise, will not exceed the total price paid for the product or products giving rise to the
claim. This limitation applies only to the extent that it is reasonable and permitted by law.
Misuse and failure to follow instructions
We are not responsible for loss or damage
to the extent it is caused by misuse, use for an unintended purpose, failure to follow instructions or warnings, continued use after damage or wear becomes apparent, unauthorised modification, unsuitable attachment, or lack of required supervision. This does
not excuse a defect in the product or reduce liability that cannot lawfully be excluded.
21. EVENTS OUTSIDE OUR REASONABLE CONTROL
We are not responsible for delay or failure
caused by an event outside our reasonable control, such as severe weather, transport disruption, industrial action, failure of utilities or networks, governmental action, customs delay, epidemic, fire or supplier disruption. We will take reasonable steps to
reduce the effect, keep you informed and resume performance when reasonably possible.
If there is a substantial delay, a Consumer
may have the right to end the contract and receive a refund for products not received. Nothing in this section removes rights provided by law.
22. SUSPENSION AND TERMINATION
We may suspend or terminate access to an
account or website feature if we reasonably believe you have materially breached these Terms, used the Services unlawfully, created a security risk or acted fraudulently. Where appropriate, we will give notice and an opportunity to remedy the issue.
Termination of website access does not automatically
cancel an order already accepted, remove amounts properly due, or affect rights and obligations that are intended to continue, including intellectual-property, liability, payment and dispute provisions.
23. GENERAL LEGAL TERMS
If any provision is found unlawful, invalid
or unenforceable, it will be treated as modified to the minimum extent necessary or removed, and the remaining provisions will continue.
If we delay enforcing a right, that does
not waive it. A waiver on one occasion is not a waiver on another occasion.
You may not transfer your rights or obligations
under a contract without our written consent. We may transfer ours to another organisation, but we will tell a Consumer if this happens and the transfer will not reduce their rights.
For Business Customers, these Terms and any
document expressly incorporated into them form the entire agreement relating to an order, and each party acknowledges that it has not relied on a statement not set out in those documents. Nothing excludes liability for fraud or fraudulent misrepresentation.
For Consumers, information and statements that the law makes binding remain binding.
Except where these Terms expressly say otherwise,
no person other than you and PawDry Ltd has a right under the Contracts (Rights of Third Parties) Act 1999 to enforce a contract.
24. GOVERNING LAW AND COURTS
These Terms and contracts made under them
are governed by the law of England and Wales.
If you are a Consumer resident in England
or Wales, the courts of England and Wales will have non-exclusive jurisdiction. If you live in Scotland or Northern Ireland, you may also bring proceedings in the courts of the part of the United Kingdom where you live, and you retain any mandatory protections
that apply there.
If you are a Business Customer, the courts
of England and Wales will have exclusive jurisdiction, subject to any mandatory rule of law.
25. CHANGES TO THESE TERMS
We may update these Terms by posting a revised
version on the website and changing the effective date. The terms in force when we accept your order will normally govern that order. A later change will not retrospectively alter an existing contract unless the change is required by law or you agree to it.
Where required by law, we will give reasonable
notice of a material change affecting ongoing use of an account or Service.
26. COMPLAINTS AND CONTACT INFORMATION
Questions, cancellation notices and complaints
should be sent to:
